Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Asset Track Sp. z o.o. ("Asset Track", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

3. Services

Asset Track provides fleet management solutions, including but not limited to:

Custom development on the Wialon and flespi platforms — integrations, data pipelines, analytics and fleet applications, delivered as scoped engagements.

Products, licensed directly or white-label:

  • FleetTAB — fleet analytics application for Wialon: dashboards, trips, eco-driving and maintenance
  • FleetSQL — managed extraction of Wialon data into a customer-owned PostgreSQL database
  • Ecodriving — driver behaviour scoring for Wialon, standalone or as a FleetTAB section
  • Routly — self-hosted fleet tracking platform, available under AGPL-3.0 or a commercial licence

Free mobile applications distributed through the Apple App Store — MileTrack and AutoKeep. They are used without an Asset Track account, store their data on the user's own device, and are covered by these Terms only in respect of that distribution.

4. User Accounts

When you create an account with us, you must:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

5. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt our services
  • Transmit malicious code or harmful content
  • Use our services to track individuals without proper consent

6. Intellectual Property

Products. Intellectual property rights in our products — FleetTAB, FleetSQL, Ecodriving, Maintenance and Routly — including software, documentation and branding, remain the property of Asset Track or our licensors. You are granted a limited, non-exclusive license to use them in accordance with these Terms. A white-label configuration grants use under your own brand and domain; it does not transfer ownership of the underlying product. Routly is additionally released under the GNU Affero General Public License v3.0: where you obtain and use it under that licence, its terms govern your rights in the software and nothing in this clause restricts them.

Custom development. Work commissioned as a scoped engagement is delivered to you as a deployed system together with its source code, and the delivered work is yours. Where that work incorporates our pre-existing components or third-party libraries, those remain under their own licences and are licensed to you for use within the delivered system. The specifics are set out in the engagement agreement, which takes precedence over this clause.

7. Data and Privacy

Your use of our services is also governed by our Privacy Policy. You are responsible for:

  • Ensuring you have proper consent to collect and process data through our services
  • Complying with applicable data protection laws (including GDPR)
  • Maintaining appropriate security measures for your data

8. Payment Terms

For paid services:

  • Fees are as specified in your service agreement or order
  • Payment is due according to the agreed payment schedule
  • Late payments may result in service suspension
  • All fees are exclusive of VAT unless otherwise stated

9. Service Level

We strive to maintain high availability of our services. Specific service level agreements (SLAs) may be included in your service contract. We are not liable for interruptions due to:

  • Scheduled maintenance (with reasonable notice)
  • Force majeure events
  • Third-party service failures
  • Your equipment or network issues

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our services are provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the fees paid by you in the 12 months preceding the claim

11. Indemnification

You agree to indemnify and hold harmless Asset Track from any claims, damages, or expenses arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Termination

Either party may terminate the service agreement:

  • With written notice as specified in your service contract
  • Immediately for material breach
  • Upon insolvency or bankruptcy of either party

Upon termination, you must cease using our services and we may delete your data after the retention period specified in your agreement.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes via email or through our services. Continued use after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of Poland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Warsaw, Poland.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
